General terms of service
Last updated: 2 October 2026 (English translation of the terms dated 30 September 2026)
English translation of the French document. The services and conditions described are the same in both versions.
These general terms of service govern the services of Oryon Technologies (Oryon Technologies, sole trader): custom development, web development, WordPress, managed IT, maintenance, automation, consulting and the SEO Studio subscription. They are intended exclusively for professionals, associations and self-employed people acting in the course of their business. Bespoke services are governed by a signed quote, which takes precedence over these terms in the event of a conflict. SEO Studio is governed by the subscription conditions below and can be subscribed to on oryon-tech.com when online payment is enabled.
1. Description of services
The services offered are detailed on the Services page of oryon-tech.com. Each bespoke service is covered by a quote specifying its purpose, scope, deliverables, timeframe and price. Once signed by the client, the quote forms the contract.
SEO Studio covers one client website: analysis of its business and topics, AI-assisted article preparation, formatting, images licensed for reuse with their credits, and review and approval by Oryon. The target is one article per day, or 365 per year and an average of more than 30 per month, across all languages combined. Publication depends on Oryon’s review, the client’s permission and an active connection to a compatible site. No ranking, traffic volume, number of business enquiries or citation in AI answers is guaranteed.
2. Formation of the contract: quote or subscription
- For quoted services, the quote is valid for 30 calendar days.
- A handwritten or electronic signature on the quote forms the contract.
- Any change in scope is covered by a priced amendment, prepared and accepted before the work is performed.
- No work covered by a quote starts without a signed quote.
For SEO Studio, site compatibility, price, scope and subscription conditions are presented before subscription. When online payment is enabled, the client subscribes from their account through Stripe or, when the Shopify offer is available to them, through Shopify’s plan selection and confirmation. The subscription renews at the displayed interval until cancelled; no separate quote is required for this offer. A site connection or return from the payment page does not, by itself, confirm a subscription.
3. Prices and VAT
Prices are stated in euros. VAT not applicable under Article 293 B of the French General Tax Code (TVA non applicable, art. 293 B du CGI). For quoted services, any excluded third-party costs, such as hosting, licences or domain names, are identified in the quote. Quoted services are paid by bank transfer or, when offered on the invoice in the client area, through Stripe’s secure payment page.
The SEO Studio price is €79 / month / site. VAT not applicable under Article 293 B of the French General Tax Code. The price and billing interval are displayed again before payment confirmation.
4. Payment schedule
- For quoted services, invoices are payable within 30 calendar days of their issue date.
- For SEO Studio, payment is due at the beginning of each monthly period. Confirmed payment provides access to the service for the paid monthly period.
- Late-payment penalties are due without a reminder, at the European Central Bank rate for its most recent refinancing operation, in force on 1 January for the first half of the year or 1 July for the second half, plus ten percentage points, and no less than three times the applicable statutory interest rate. A fixed €40 recovery-cost indemnity also applies (Article L.441-10 of the French Commercial Code).
- For quoted services, late payment allows Oryon Technologies to suspend work after a formal demand has remained unanswered for 8 calendar days.
5. Delivery timeframes
Announced timeframes are estimated as of a specified date and assume that the client’s approvals and content are available. Delays attributable to the client or a third party, such as a hosting provider, software vendor or administrative decision, extend the timeframe by an equivalent period after the client has been informed in writing.
6. Respective obligations
- Oryon Technologies undertakes to perform the services diligently and in accordance with professional standards, document deliverables, inform the client of identified risks and limitations, and protect personal data processed during the assignment.
- The client undertakes to provide the necessary content, access and approvals within the agreed timeframes, appoint an authorised contact, and inform Oryon Technologies of changes in their environment that affect the assignment.
- If the client does not provide the necessary elements, Oryon Technologies informs them in writing and the timeframe is extended.
7. Intellectual property and licences
- On full payment, ownership of custom developments produced for the client, including source code and mock-ups, is transferred to the client within the rights Oryon Technologies is entitled to transfer.
- Pre-existing generic components, tools and methods remain the property of Oryon Technologies. The client receives a non-exclusive, free licence to operate, maintain and develop their system, directly or through a provider of their choice.
- Open-source libraries are used under their respective licences, listed in the delivery documentation.
- The client remains solely responsible for the content they provide or publish, including text, images and trademarks, and for their rights to that content.
8. Handover, return of data and technical access
For quoted services, Oryon Technologies guarantees handover: during performance, source code and up-to-date documentation for delivered developments are stored in locations accessible to the client, and access remains in the client’s name or is transferred to them when created. A handover plan accompanies managed IT and infrastructure assignments. Any final additions, deployment scripts, exports and backups are returned without exit fees within 15 calendar days after cancellation or the end of the contract.
9. Hosting and subcontracting
The host for a client system is chosen by mutual agreement and identified in the quote or its appendices. Subcontractors needed for the assignment are disclosed to the client. No new subcontractor processing personal data on the client’s behalf is added without the prior information required by the data processing agreement.
10. Maintenance, support and service levels
Maintenance packages specify in the quote the covered scope, such as updates, monitoring, backups and development hours, the support hours and target initial-response times: 2 business days for a standard package and 1 business day for priority support, in both cases within the hours stated in the quote. These are service targets, not contractual availability commitments, unless expressly agreed in writing in the quote.
No availability service-level agreement (SLA) is guaranteed by default. A written availability commitment, with its conditions and consideration, may be negotiated for managed IT assignments and is covered by a specific clause.
11. Backups
For assignments including backups, Oryon Technologies implements the plan described in the quote, including frequency, retention, encryption and storage location. Restoration is tested periodically and the latest test is recorded. Backups reduce the risk of data loss; they do not eliminate it, including the interval between backups and logical corruption. Client data remains the client’s exclusive property.
12. Liability and limits
Oryon Technologies is subject to a duty of reasonable care in performing the services. Liability arises from a proven breach in the performance of the contract. Liability is limited to the price excluding taxes of the relevant quote or, for a recurring contract, the amounts excluding taxes paid by the client during the twelve months preceding the event giving rise to liability. This does not affect cases of intentional misconduct or gross negligence, or cases where the law excludes such a limit.
13. Personal data
During assignments, Oryon Technologies processes the personal data of the client and their contacts solely to perform the assignment. A data processing agreement under Article 28 of the GDPR is signed when Oryon Technologies processes data on behalf of the client. The website privacy policy details processing specific to the website. In the event of a security incident, the client is informed without undue delay.
14. Force majeure
Neither party is liable for delay or non-performance resulting from force majeure within the meaning of Article 1218 of the French Civil Code. The affected party promptly informs the other and proposes measures to limit the impact. If the impediment lasts more than 30 calendar days, either party may terminate the contract without penalty; services already performed are invoiced.
15. Cancellation and termination
- Either party may end a maintenance package with 30 calendar days’ notice.
- For SEO Studio: Cancel at any time, effective at the end of your current monthly billing period. The client can request cancellation through subscription management in the client area or by writing to contact@oryon-tech.com. Access to the service remains available until the end of the paid monthly period.
- In the event of a serious breach not remedied within 15 calendar days after a written formal demand, the other party may terminate the contract as of right.
- Termination does not affect clauses which by their nature must survive, including intellectual property, confidentiality, liability and handover.
16. Business customers and withdrawal rights
The services are offered to business customers: professionals, small businesses, associations and self-employed people acting in the course of their activity. The withdrawal right provided for certain consumer contracts therefore does not apply to the contracts covered by these terms. Any future opening of the offer to consumers will require the contractual documents to be updated beforehand.
17. Applicable warranties
The warranties and commitments applicable to each professional service are specified in the quote. These terms do not deprive either party of warranties or liabilities that cannot be excluded by contract.
18. Complaints and mediation
Complaints must be sent in writing to legal@oryon-tech.com. Consumer mediation is not applicable: services are intended exclusively for professionals, associations and self-employed people acting in the course of their activity. If no amicable resolution is reached, the competent courts are determined under the ordinary rules of law.
19. Governing law and jurisdiction
These general terms of service are governed by French law. If no amicable resolution is reached and no specific clause has been validly agreed in the quote, subject-matter and territorial jurisdiction are determined under the ordinary rules of law.
